Terms of Service

1. Who we are

The Service is operated by BlackYack SUARL, a Tunisian single-member limited liability company (société unipersonnelle à responsabilité limitée) registered with the Registre National des Entreprises (RNE) under unique identifier 1730839M, with its registered office at Avenue Hédi Nouira, 5000 Monastir, Tunisia (“BlackYack”, “we”, “us”, “our”).

2. Definitions

• Service — the Gamra TUI (command-line coding agent), the desktop client, the OpenAI-compatible gateway, Gamra Teams, the web dashboard, and any associated API.
• Account — the personal space through which you access the Service.
• Wallet — the prepaid balance, denominated in integer millimes, from which your usage is drawn.
• Millime — the sub-unit of the Tunisian dinar (1 TND = 1,000 millimes); the unit of account for all billing on the Service.
• Content — the code, prompts, files and other data you submit to the Service.
• Conversations: when you use the dashboard chat, your messages and the Models' replies are stored on our servers so that you can revisit them. Attached images are not kept: they are passed to the Model and then forgotten.
• Models — the third-party artificial-intelligence models made available through the gateway.

3. Eligibility and account

You must be at least 18, or the age of legal majority in your jurisdiction, and able to enter into a contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it.

You are responsible for the accuracy of your account information, the confidentiality of your credentials and API keys, and all activity under your account. Tell us promptly of any unauthorised use.

4. The Service

Gamra provides AI-assisted software-development tools and an OpenAI-protocol-compatible gateway that routes your requests to third-party Models. The Service meters every request and shows you its exact cost, in millimes.

The Service will evolve. We may add, change or remove features, Models or plans, and we aim to give advance notice of material changes.

5. Subscriptions, tiers and usage

The Service is offered in tiers. Each paid tier includes a usage allowance credited to your Wallet and drawn down as you actually use the Models and features.

• Usage is metered per request, in integer millimes; no floating-point value touches your balance.
• The usage allowance is a right to use the Service. It is not transferable, exchangeable, or redeemable for cash, and is not electronic money or a deposit.
• Unused allowance expires six (6) months after it is granted, separately for each credit, and is non-refundable. See the Refund Policy, sections 4 and 4bis.
• The spend caps and rate limits applicable to your tier are shown in your dashboard.

6. Payments, billing and taxes

Top-ups and subscriptions are charged through our payment provider. Card payments are processed by ClicToPay (Société Monétique Tunisie), through our acquiring bank BIAT. BlackYack SUARL is the seller for every transaction.

• The price shown at the time of purchase is the total amount charged to your card. No fee or surcharge is added at payment.
• You authorise us to charge the payment method you provide for amounts due.
• All prices and all charges are in Tunisian dinar (TND). If your card was issued outside Tunisia, your own bank converts the amount at its rate and may add a foreign transaction fee: those rates and fees are your bank's, not ours.

Refunds and cancellation are governed by our Refunds & Cancellation Policy, which forms part of these Terms.

7. Your Content and code

You keep all rights in your Content. You grant us a limited, worldwide, non-exclusive licence to host, process and transmit your Content solely to provide the Service — including routing it to the Models you choose to invoke.

We do not use your Content to train AI models. How Model providers process your code and prompts is described in our Privacy Policy.

You are responsible for your Content and represent that you have the rights necessary to submit it to the Service.

8. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. Violations may lead to suspension or termination of your access.

9. Third-party Models

The gateway routes your requests to Models operated by third parties. Your use of those Models may be subject to their own terms. Models produce output probabilistically: it may be inaccurate, incomplete or inappropriate. You are solely responsible for evaluating and using their output, including before deploying any generated code.

10. Intellectual property

The Service, its software, brand and content (other than your Content) belong to BlackYack or its licensors and are protected by law. These Terms grant you no rights in our trademarks without our prior written consent. Open-source components remain governed by their respective licences.

11. Availability, beta and changes

The Service is provided “as is” and “as available”. Some features (such as Gamra Teams) may be offered in early access or beta; they may be unstable, change, or be withdrawn. We do not guarantee uninterrupted availability and may suspend the Service for maintenance.

12. Warranties

To the extent permitted by law, the Service is provided without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or accuracy of Model output.

13. Limitation of liability

To the extent permitted by law, BlackYack shall not be liable for indirect, incidental, special or consequential damages, or for any loss of profits, data or goodwill. Our total liability under these Terms is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify BlackYack against any claim, loss or expense (including reasonable legal fees) arising from your Content, your use of the Service in breach of these Terms or the law, or your infringement of a third party's rights.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if there is a risk to the Service or other users, or where legally required. On termination, provisions that by their nature should survive (intellectual property, warranties, liability, governing law) remain in effect.

16. Changes to these Terms

We may amend these Terms. For material changes we will notify you by a reasonable means (for example by email or through the Service). Continued use after they take effect constitutes acceptance.

17. Governing law and jurisdiction

These Terms are governed by the laws of Tunisia. Any dispute falls within the exclusive jurisdiction of the competent courts of Monastir, Tunisia, subject to any mandatory consumer-protection rules.

18. Miscellaneous

If any provision is found invalid, the remainder stays in force. Failure to exercise a right is not a waiver. These Terms, together with the policies referenced, are the entire agreement between you and BlackYack regarding the Service.
